Delaware, Texas, and Florida, offers a wide range of legal services

solutions. Requirements: Candidate will have the following: Minimum
6 years of experience handling business and financial transactions
within the healthcare industry ; Experience within a large law firm
setting (experience will be current or very recent) ; Keen
knowledge of complex healthcare regulations like HIPAA and
anti-kickback laws ; Experience negotiating contracts for
everything from physician practices to technology companies.
Stellar academic credentials (Law Review and/or Moot Court
accolades desired); Strong research, verbal & written communication
skills, and analytic skills required ; Texas Bar. Excellent work
environment, compensation commensurate to experience. Day to Day
Responsibilities: Responsibilities include, but are not limited to:
Representing a diverse clientele including hospitals, health
systems, physician groups, and long-term care facilities, as well
as pharmaceutical companies, medical device -manufacturers, and
health information technology firms. Guiding clients through the
purchase or sale of healthcare entities like hospitals, physician
practices, and software companies. Assisting with loans, private
equity investments, and other capital markets transactions in the
healthcare sector. Conducting thorough legal reviews of a target
company's operations, finances, and legal standing before a
transaction is finalized. Structuring and drafting agreements for
strategic partnerships between healthcare organizations.
Negotiating and drafting a wide range of agreements, including
physician employment contracts, vendor agreements, and managed care
contracts. Ensuring transactions comply with healthcare-specific
laws and regulations, which can include HIPAA, anti-kickback
statutes, and Stark Law. Providing general advice on corporate
governance, risk assessment, and succession planning for healthcare
clients.
